The Corporation shall not indemnify a person for a claim, issue, or matter in which the person is found liable to the Corporation except to the extent ordered by a court pursuant to Section 564c of the Michigan Nonprofit Corporation Act, as amended from tome to time (the “Act”). Section 12.03 Expenses. To the extent that a Director, Officer, employee, nondirector volunteer or agent of the Corporation has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Sections 12.01 or 12.02 of this Article or in defense of any claim, issue or matter in the action, suit or proceeding, the Corporation may, in the complete discretion of the Board of Directors, indemnify such person for actual and reasonable expenses (including attorneys’ fees) incurred by him or her in connection therewith. The provisions of this Section 12.03 are intended to abolish the requirements for mandatory indemnification set forth under Section 563 of the Act; however, the Corporation shall still be required to assume a person’s liabilities under Section 209(1)(d) and (e) of the Act.

Section 12.04 Determination of Indemnification.Except as otherwise provided in Section 564a(5) of the Act, unless ordered by the court, the Corporation shall indemnify a Director, Officer, employee, nondirector volunteer or agent under Sections

12.01 and 12.02 only if authorized in the specific case based on a determination that indemnification of the Director, Officer, employee, nondirector volunteer or agent is proper in the circumstances because that person has met the applicable standard of conduct set forth in Sections 12.01 or 12.02 and based on an evaluation that the expenses and amounts paid in settlement are reasonable. The Corporation shall make a determination and evaluation under this Section in one of the following ways:

By a majority vote of a quorum of the Board consisting of Directors who are not parties or threatened to be made parties to the action, suit, or proceeding.

Section 12.05 Indemnification for Limited Liability of Director. To the extent that the Corporation’s Articles of Incorporation eliminate or limit the liability of a director under Section 209(1)(c) of the Act, the Corporation may indemnify the Director for expenses and liabilities described in that subsection without a determination that the Director has met the standard of conduct set forth in Sections 12.01 or 12.02. Any indemnification under this Section is subject to the restrictions and limits set forth in Section 564a(5) of the Act.

Section 12.06 Advancement of Expenses. The Corporation may, in the complete discretion of the Board of Directors, pay or reimburse the reasonable expenses incurred by a Director, Officer, employee, nondirector volunteer or agent of the Corporation or a person that is or was serving at the request of the Corporation as a director, officer, partner, trustee, employee or agent of another domestic corporation, foreign corporation, domestic business corporation, foreign business corporation, partnership, limited liability company, joint venture, trust or other enterprise, whether for profit or not, that is a party or threatened to be made a party to an action, suit or proceeding in advance of final disposition of the proceeding if the person furnishes the Corporation a written agreement executed

Such an agreement must be an unlimited general obligation of the Director, Officer, employee, nondirector volunteer or agent but may be unsecured. The Corporation may accept such agreement without reference to the financial ability of the person to make repayment.

The Corporation shall evaluate the reasonableness of advances under this Section in the manner described in in Section 12.04 above and make an authorization of payment in any of the ways permitted by Section 564a(4)(a) of the Act.

The Corporation is not obligated to purchase Liability Insurance, and if it does, it is not required to buy insurance that protects all Indemnified Parties, or that covers all possible claims or that provides the same insurance coverage to all Indemnified Parties. The Corporation shall have no liability to an Indemnified Party (or his/her heirs or successors) if:

(a) it does not purchase Liability Insurance that insures a particular person, or (b) if the scope or amount of coverage for any Liability Insurance is not sufficient to compensate an Indemnified Party for the liabilities, expenses and/or costs incurred by such person, including attorney fees, judgments, penalties, fines, and amounts paid in settlement.
